By creating an account, accessing, or using CiraIQ, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Code of Conduct.

These Terms constitute a legally binding agreement between you and CiraIQ. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

CiraIQ provides an AI-powered workflow automation platform that enables users to:

• Create and manage automated workflows using a visual builder
• Integrate with third-party APIs and services
• Build and deploy AI agents for task automation
• Process data and execute automated actions
• Monitor and analyze workflow performance
• Collaborate with team members on workflow projects

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of CiraIQ, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Eligibility

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason we deem appropriate. You may terminate your account at any time by contacting support.

4. Acceptable Use Policy

You agree to use CiraIQ only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the platform to transmit malware, viruses, or harmful code
• Interfere with or disrupt the integrity or performance of our services
• Collect or harvest personal information about other users
• Upload or transmit content that is illegal, harmful, or offensive
• Use the platform to send spam, misleading content, or unauthorized advertising
• Attempt to gain unauthorized access to any portion of the platform

5. User Content and Data

5.1 Ownership

You retain all rights to the content, data, and workflows you create using CiraIQ ("User Content"). We do not claim ownership of your User Content.

5.2 License Grant

By uploading or creating User Content / Automations on CiraIQ, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, store, process, and display your User Content solely for the purpose of providing and improving our services.

5.3 Responsibility

You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that you own or have the necessary rights to use and share your User Content and Automations.

6. Intellectual Property Rights

The CiraIQ platform, including all software, designs, graphics, logos, text, and other content (excluding User Content), is owned by or licensed to CiraIQ and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use CiraIQ for your personal or business purposes, subject to these Terms.

The CiraIQ name, logo, and related marks are trademarks of CiraIQ. You may not use these marks without our prior written permission.

7. Third-Party Services and Integrations

CiraIQ may integrate with or provide access to third-party services and APIs including but not limited to TikTok, Google, Slack, Meta, LinkedIn, and others. Your use of these third-party services is subject to their own terms and conditions. We are not responsible for the availability, accuracy, or functionality of third-party services.

When you connect third-party services to CiraIQ, you authorize us to access and use the data from those services as necessary to provide our services to you.

8. Fees and Payment

8.1 Subscription Plans

CiraIQ offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase.

8.2 Billing and Renewals

Subscription fees are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel before the renewal date. You are responsible for maintaining valid payment information.

8.3 Refunds

Fees are non-refundable except as required by law or as explicitly stated in our refund policy. If you cancel your subscription, you will retain access until the end of your current billing period.

8.4 Price Changes

We reserve the right to change our pricing at any time. We will provide advance notice of any price changes, and the new pricing will apply to your next billing cycle after the notice period.

• Your violation of any third-party rights
• Your User Content
• Any fraudulent or illegal activity

12. TikTok API Usage

CiraIQ integrates with TikTok's API to provide social media automation features. By connecting your TikTok account to CiraIQ, you agree to the following terms:

12.1 Permitted Use

• You may only use TikTok integrations for lawful purposes and in compliance with TikTok's Terms of Service
• You may not use CiraIQ to post spam, misleading content, or content that violates TikTok's Community Guidelines
• You are responsible for all content published to TikTok via CiraIQ workflows

12.2 Authorization

By connecting your TikTok account, you authorize CiraIQ to access your TikTok profile, content, and analytics solely to execute the workflows you configure. You may revoke this authorization at any time from your CiraIQ settings or directly from your TikTok account.

12.3 TikTok Policy Compliance

Your use of TikTok features through CiraIQ is also governed by TikTok's own Terms of Service and Privacy Policy. CiraIQ is not affiliated with, endorsed by, or sponsored by TikTok. We make no warranties regarding the availability or functionality of TikTok's API.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last Updated" date. Your continued use of CiraIQ after such modifications constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using our services and may terminate your account.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CiraIQ operates, without regard to its conflict-of-law provisions. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation, and failing that, through binding arbitration where permitted.
